Onzli terms of service

These terms are an agreement between you and Xalterra Ltd, a company registered in England and Wales under company number 11128001, whose registered office is at Unit 29 Highcroft Industrial Estate Enterprise Road, Horndean, Waterlooville, Hampshire, PO8 0BT ("we", "us"), for your use of Onzli at onzli.com and tax.onzli.com. By creating an account or using Onzli, you agree to them.

1. The service

Onzli is software for preparing, checking and submitting UK tax information to HMRC under Making Tax Digital, including VAT returns and, where offered, Income Tax quarterly updates and tax returns. The features available to you are those shown in the service.

Onzli is not tax, legal or accounting advice. You remain responsible for the accuracy of your records, for the choices you make in the service, and for every declaration and submission you make to HMRC. Before anything is sent to HMRC you will be shown what will be submitted, and you must check it.

2. Your account

You must give accurate information, keep your password and authenticator app secure, and not share your sign-in with anyone. Each person who uses an account needs their own sign-in. Tell us straight away at security@onzli.com if you think someone else has accessed your account.

The admins of an account are responsible for who they invite and the roles they give them.

3. Your data

You own the data you put into Onzli. You allow us to store, process and transmit it to provide the service, including sending it to HMRC when you, or someone you have authorised, submits it. Our privacy policy explains how we use personal data, and our data processing terms apply to data we process for business and organisation accounts.

You can download your data at any time from Settings > Download my data.

4. HMRC and connected software

You authorise Onzli to act with HMRC by signing in to HMRC yourself; we never ask for or store your HMRC password. Connecting accounting software does not authorise anything to be sent to HMRC.

Our connections to accounting software only read your records; we never change them. Your own agreement with that software's provider continues to apply. We cannot guarantee that HMRC will accept a submission, or that HMRC or a connected provider will be available at any particular time.

5. Prices and payment

Prices are shown in the service before you are charged, and include VAT.

  • Pay as you file: we place a hold on your card when you send a return or update. We take the payment only if HMRC accepts it; otherwise the hold is released.
  • Annual plans: paid in advance for the number of filings shown at purchase. If you cancel, we refund what you paid minus the pay-as-you-file price for each filing already used, never below zero.

Payments are processed by Stripe. We issue a VAT receipt for every payment and a credit note for every refund. We may change our prices; changes never affect a filing already made or an annual plan already paid for.

6. Acceptable use

You must not use Onzli to submit information you know to be false, to act for someone without their authority, to access data you are not entitled to, or to interfere with the service, its security or other users. You must not try to copy, resell or reverse-engineer the service.

7. Availability and changes

We work to keep Onzli available and secure but cannot promise it will always be uninterrupted or error-free. We may change or improve the service. We will give you at least 30 days' notice by email or in the service before a change to these terms that materially affects you. If you do not agree to the change, you may close your account before it takes effect.

8. Our liability

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited by law.

We are not liable for:

  • penalties, interest or tax arising from inaccurate or incomplete records you provide, from choices you make in the service, or from a submission you approved;
  • losses caused by HMRC's systems, a connected provider's systems, or events outside our reasonable control;
  • loss of profit, revenue, business or goodwill, or any indirect or consequential loss.

Otherwise, our total liability to you in any 12-month period is limited to the amount you paid us in that period.

If you use Onzli as a consumer, rather than for your trade, business or profession, you also have legal rights that these terms do not affect.

9. Closing your account and ending these terms

You can close your account at any time from Settings. We may suspend or close an account immediately for a serious or repeated breach of these terms, for non-payment, to protect security, or where the law requires it. Otherwise we will give you at least 30 days' notice.

When an account is closed, you have 30 days to download your data before it is deleted, except for records we must keep by law, as explained in our privacy policy. Remember that you must keep your own tax records for as long as HMRC requires.

10. General

These terms, our privacy policy and, for business and organisation accounts, our data processing terms are the whole agreement between us. If any part of these terms is found to be unenforceable, the rest still applies. We may transfer this agreement to another organisation that takes over Onzli and will tell you if we do.

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland or Northern Ireland, you may also bring proceedings in your local courts.
